A Message from Andi Owen, President & CEO
Across global MillerKnoll, we are guided by our shared purpose—design for the good of humankind. This purpose reflects the desire of our brands to leverage the power of design to improve lives, whether that’s the lives of our customers, our associates, or the people in the communities where we live and work.
Our conduct matters. We have a responsibility to ourselves, our customers, and our community to do the right thing. To be successful in this endeavor, we’ve established our Code of Business Conduct and Ethics (“Code”) to shape our decision-making and how we solve problems in the course of our work.
Our Code transcends all areas of our business, including how we deal with each other internally and how we deal with stakeholders (e.g., customers, suppliers, alliance partners, shareholders, and governments).
To build a more equitable and sustainable future for all, we need to live with integrity and follow a clear ethical code. Our Code is designed to guide us in our work wherever we are located. It helps us understand how we should conduct business and where to go when we have questions or concerns. It also helps ensure we conduct ourselves in a manner that values all cultures, people, and experiences.
MillerKnoll has always been guided by our core values: we are difference-makers, we are all extraordinary, and we are better together. By living our values and upholding our Code, you will help ensure we improve our business environment the right way.

2.1 Our Values
We are difference-makers includes our products and our approach to business—to make a difference in the lives of our customers, our neighbors, and people around the world. Specifically:

2.2 Applicability and Scope
Our purpose and values are the foundation for how we work together. Our Code serves as an important resource for associates as they make day-to-day decisions. These standards reflect the trust and integrity that are core to our relationships with customers, suppliers, shareholders, the community, and each other.
Our Code is applicable to all directors, officers, and individuals employed by controlled subsidiaries of MillerKnoll, Inc. (“MillerKnoll” or our “Company”), regardless of the type of work arrangement or the location of their work. The Code guides us in our work wherever we are and directs us where to go when we have questions or concerns. We also expect our independent dealers, retailers, licensees, distributors, suppliers, subcontractors, consultants, agents, and representatives to share our commitment.

Be Aware, Be Accountable, and Speak Up
3.1 Your Responsibilities
As a member of the MillerKnoll community, you are expected to comply with the Code, both in letter and in spirit. This means you must understand and follow all of the policies, laws, and regulations that apply to your job. We all have a responsibility to recognize ethical issues and to do the right thing while conducting business. This Code will help you identify potential areas of concern and help you make ethical decisions. However, it is impossible to anticipate every question or situation, and sometimes the right answer or course of action may not be clear.
Consider the following questions before taking action, and unless the answer to each question is yes, don’t do it:
- Is the action legal, ethical, and socially responsible?
- Does the action follow both the spirit and the letter of our Code?
- Will the action appear appropriate?
- Does the action support our purpose and values?
- Is it clear that our Company would not be embarrassed, or our reputation harmed if this action became known, either within our Company or publicly?
If you are still not sure, err on the side of caution and seek guidance.
Remember, if your local laws have stricter requirements than the Code, you must follow the more stringent laws or regulations.
You will be asked periodically to participate in ethics and compliance training and to provide a written certification that you have reviewed and understand this Code, agree to comply with its standards, and are not personally aware of any violations of the Code by others. This is your pledge to live up to our Code and its expectations and to promptly raise concerns about any situation that may violate it. Those who violate our Code put themselves, their colleagues, and our Company at risk. Anyone who compromises or violates the Code, our Company policies, or any applicable law may be subject to disciplinary action, up to and including termination, loss of employment-related benefits, and, if applicable, criminal or civil liability.
Using a third party or other means to bypass this Code is never allowed.
3.2 Further Expectations of Leaders
MillerKnoll supervisors and management are expected to demonstrate our values by promoting an environment where compliance and ethical behavior are the norm. If you are in a supervisory or management role, you are expected to:
- Lead responsibly by showing a commitment to the Code through your own actions.
- Ensure your team members are aware of their responsibilities to comply with the Code and know how to report unethical behavior.
- Create a comfortable work environment where questions and concerns can be discussed openly.
- Immediately report any suspected or known violations of the Code, MillerKnoll policies, regulations, or laws.
- Ensure our commitment to non-retaliation is honored.
3.3 Raising Questions and Reporting Concerns
Since the Code cannot address every issue you may encounter, there are several resources to help you navigate questions or concerns that may arise. Whether you want to make sure you are taking the right actions in response to a particular situation or have suspicions that a particular action may have violated our Code, our policies, or the law, you are encouraged to seek guidance and report your concerns by contacting any of the following resources:
- Your supervisor or another manager you trust
- Your local Human Resources Department
- The Director of Business Risk
- The Chief Legal Officer
- MillerKnoll’s confidential Ethics and Compliance Hotline, by phone or online. Access a secure site to confidentially raise your concerns by visiting millerknoll.ethicspoint.com/.
The Ethics and Compliance Hotline is a confidential external resource managed by an independent company, NAVEX Global. It is available 24 hours a day, seven days a week, and in local languages. Phone numbers vary by country and are available online.
Whether you report by phone or online, you can always choose to contact the hotline anonymously, although you are encouraged to identify yourself when reporting a possible violation to help facilitate any necessary follow-up and investigation.

If you feel unsafe or uncomfortable while at work, please speak up. We will thoroughly investigate any concerns and do not tolerate any form of retaliation. -
Obeying the Law
Obeying the law is the right thing to do—and the foundation of our Purpose, Values and Code. We all have a responsibility to conduct business ethically and in compliance with applicable laws and regulations. This includes both the laws of the country where you live and the laws of the countries where MillerKnoll operates. While you should be alert to local laws or requirements that may affect your business unit, the following laws govern all of our business dealings.
4.1 Anti-Bribery and Anti-Corruption Laws
As part of our commitment to strong corporate governance and to maintaining the highest standards for ethical behavior, we follow all anti-corruption laws everywhere we operate, and we never act corruptly.
MillerKnoll does not permit the giving or receiving of bribes, kickbacks, or any other type of improper preferential benefit in connection with our business. A bribe can include giving or receiving any item of value (e.g., cash, gift cards, gratuities, gifts, kickbacks, unauthorized rebates, meals, entertainment, trips, favors, loans, contributions, or donations) to or from a person or entity in order to obtain an improper business advantage or otherwise improperly promote our business interests. We also don’t allow any other individuals or entities to offer bribes, kickbacks, or improper benefits on our behalf. We always operate with integrity, regardless of local customs or industry practices. Engaging in corruption of any kind will not be tolerated.

- “Don’t worry, this is just the way we do business in this country, region, place.”
- “A small grease payment might help speed things along.”
Stop and ask for help. These can be warning signs indicating bribery or corruption. 4.2 Anti-Money Laundering
Money laundering is a global problem with far-reaching and serious consequences. Money laundering is a process by which individuals or groups attempt to hide illicit funds (those obtained through illegal activities) or make the sources of these funds appear legitimate by passing the money through common financial or commercial transactions. Complex commercial transactions may hide financing for criminal activity such as terrorism, illegal narcotics trade, bribery, and fraud. We are committed to combating money laundering and avoiding any transaction that gives the appearance of money laundering. We can do this by remaining vigilant, taking affirmative steps to detect and prevent payment irregularities, and promptly reporting suspicious activity.
4.3 Fraud
It is never acceptable to take part—no matter how small your role—in any activity that involves theft, fraud, embezzlement, extortion, or misappropriation of property. Your participation in fraud happens anytime you help conceal, alter, falsify, or omit information in our records either for your benefit or at the direction of others. Tax evasion occurs when a taxpayer intentionally underpays or outright fails to pay a tax liability.
Countries have severe penalties for corporations or employees who facilitate fraud or the evasion of taxes. We have a zero-tolerance approach to the facilitation of tax evasion or fraud by MillerKnoll, our team members, or anyone acting on our behalf. Any concerns regarding potential fraud or tax evasion should be reported immediately.

- A transaction is processed in a way that goes around the normal process.
- Payments are transferred to or from an entity or country that isn’t related to the transaction.
If something still doesn’t seem right, speak up. Ask more questions. 4.4 Competition Laws
We believe in free and open competition and seek to increase our market share and brand loyalty through fair and honest business practices and unmatched quality. We always comply with all applicable U.S. Anti-Trust Policy and competition laws prohibiting agreements between MillerKnoll and our competitors that affect prices, terms or conditions of sale, or fair competition. We do not disclose competitive and nonpublic information to competitors, suppliers, or distributors, and we show the same respect for the confidential information of our competitors that we show for our own. We never gather competitive information through deception, theft, bribery, or misrepresentation. Similarly, we do not retain or use third parties to do so.
MillerKnoll prohibits taking unfair advantage of anyone through manipulation, concealment, abuse of privileged information, misrepresentation of material facts, or any other unfair-dealing practice.
4.5 Trade Compliance
As a global manufacturer, we transport products, supplies, and raw materials to and from countries all over the world every day, and we pay all required tariffs. In doing so, we follow all laws, rules, and regulations that govern these activities in all countries where we do business. All import/export documents and other trade-related documentation must be completed and processed accurately and in compliance with the law. As a U.S.-based company, we cannot cooperate with any boycott or other restrictive trade practice not authorized by the U.S. government or that is otherwise prohibited by law. These laws may include but are not limited to import/export controls, economic sanctions, and trade embargoes.

Protecting What Is Ours
5.1 Insider Trading
You are responsible for keeping all material nonpublic information about MillerKnoll or our business partners confidential. All information that may affect the value of stock or other securities should be considered material. To use nonpublic information for your personal financial benefit or to “tip” others who might make an investment decision on the basis of such information—including family members or friends—is both unethical and unlawful. Our Board members, executive officers, and certain other associates have additional restrictions on trading in MillerKnoll securities and should consult our Insider Trading Policy or the Global Legal & Compliance team before engaging in any trading activity.
➤ CONSIDER THIS WHAT IF WHAT TO DO My uncle asks me if he should buy more Company stock. Can I mention that the Company results are projected to be strong due to some recent large orders? You should not share any nonpublic information with your uncle. If he were to buy or sell stock based on nonpublic information that you shared, both you and he could be in violation of the law. This would be a violation of Company policy, regardless of whether your uncle uses the information or benefits from it. 5.2 Protecting Company Assets
Each of us is responsible for protecting MillerKnoll’s assets from damage, loss, theft, waste, or abuse. This includes the assets we use every day for business, such as inventory, parts, products, telephones, computers, office supplies and furniture, and Company credit cards. All physical and monetary assets provided by the Company, whether used inside or outside the workplace, are Company property and provided for your business use. Personal use of Company assets (including technology or information resources) should be incidental and shouldn’t interfere with your or others’ job performance. Any personal use of Company assets must be consistent with the principles in our Code and other Company policies. By protecting our assets, we protect our competitive advantage in the marketplace.
5.3 Intellectual Property
Our intellectual property (IP)—including inventions, trademarks, patents, copyrights, trade secrets, design rights, and logos—is one of our most valuable assets. You must always protect our IP and make sure you never disclose it to a third party outside of MillerKnoll unless they are contractually required not to disclose the information or you are otherwise required to do so by law. We also respect the IP of others, and we will not tolerate the unauthorized use of anyone else’s IP or confidential information.
5.4 Confidential Information
In carrying out MillerKnoll business, you may learn confidential or proprietary information about our Company, its customers, prospective customers, or other third parties. Confidential or proprietary information includes, among other things, any nonpublic information concerning business operations, projections, financial performance, and results or prospects, and any nonpublic information provided by a third party with the expectation that the information will be kept confidential and used solely for the business purpose for which it was conveyed. You must maintain the confidentiality of all information entrusted to you. Your obligation to protect our proprietary and confidential information continues even after your employment ends.
5.5 Information Security
MillerKnoll’s information and information technology are vital to our ability to seamlessly conduct our business, maintain our credibility, and build trust between our associates, customers, and business partners. You are responsible for complying with applicable laws, license agreements, and Global Information Security Policies, and you are expected to exhibit the highest standards of behavior and communication when using MillerKnoll information and information technology. It is your responsibility to prevent the unauthorized use, disclosure, or compromise of Company information and technical resources, whether you are on Company premises or at any remote location, including your home. To this end, you need to protect all user IDs, passwords, access cards, and encryption or authentication keys, and immediately report any suspected inappropriate use. This responsibility to safeguard Company-related information and technical resources continues even after your employment ends.
5.6 Data Privacy
MillerKnoll respects the privacy of all its associates, business partners, and consumers. When we collect, store, or transfer personal information, we must follow all applicable laws and legal requirements and ensure we always respect the privacy of personal information by handling it with care and for legitimate business purposes only. This includes personal information disclosed by anyone in the MillerKnoll community—including our customers and suppliers—such as home and email addresses, payroll information, employment records, or associate medical records.

5.7 Artificial Intelligence (AI)
MillerKnoll is committed in using all workplace tools–including AI-in support of our mission to design for the good of humankind. We use AI to enhance, not replace, human intelligence, and to better support our teams and customers. By combining AI with human expertise, the Company aims to improve efficiency and effectiveness while maintaining responsible governance and managing risk. AI tools may assist with repetitive or routine tasks, but they are not a substitute for human judgment, creativity, or accountability. You are expected to use only authorized AI tools for approved business purposes. Never enter confidential Company or customer information into publicly available or non-approved AI tools. Always fact-check AI-generated results and be aware that AI may reflect bias or generate offensive content. Use good judgment, and ensure your use of AI is ethical, fair, and inclusive. 5.8 Records Retention
Our records are our corporate memory, providing evidence of actions and decisions, and containing data and information critical to the continuity of our business. Records include paper documents, email, and electronic files stored on hard drive, disk, or any other medium (e.g., CD, DVD, USB data-storage devices, etc.) that contain information about our Company or our business activities. You are expected to comply with all records management policies and legal hold notices related to the retention and destruction of records created by MillerKnoll.
5.9 External Communications
Only a designated MillerKnoll spokesperson may make public statements on our behalf or publicly disclose proprietary or confidential Company information.
Please direct any media inquiries to media_relations@millerknoll.com. These statements must be truthful, accurate, and respectful. Deliberately misleading messages, omissions of important facts, or false claims about our products, other individuals, or our competitors, their products, services, or associates are inconsistent with our values.
5.10 Political Activity and Contributions
We encourage you to support causes that you care about and to be active in your community, but keep in mind that political participation (including volunteer efforts and donations) must remain separate from your work at MillerKnoll. Make sure that any political activity that you carry out is done legally and without the use of Company time, funds, or resources. And remember that employees are not authorized to make political contributions on behalf of the Company, including industry political action committees, without prior approval from the Chief Legal Officer.
5.11 Social Media
Social media is gaining significant importance in today’s world. Use your best judgment and exercise personal responsibility when posting online. You may not post anything that includes confidential or trade secret MillerKnoll data or information, and you must respect all copyright and other intellectual property laws. Additionally, you may not post anything online in the name of MillerKnoll or represent yourself as a spokesperson for MillerKnoll unless you have been given written authorization to do so. Harassment, discrimination, retaliation, and threats of violence are prohibited by MillerKnoll, including on social media. This policy does not restrict any communications protected under the U.S. National Labor Relations Act, such as those about wages, hours, working conditions, and other terms of employment; efforts to form, join, or assist a labor organization; efforts to bargain collectively or engage in other protected concerted activity; or any other conduct or communications protected under the National Labor Relations Act for U.S.-based associates or similar laws for non-U.S.-based associates.
➤ CONSIDER THIS WHAT IF ANSWER I recorded a video of some of my friends dancing in the break area, but you can see some of our new high-tech production machines in the background. Can I still post it on TikTok? No, this could result in confidential information about production processes being shared. I saw a negative blog post that had inaccurate information about a MillerKnoll product. I’m familiar with this product and want to post a response to provide the correct information. Is it okay to post a response online? No, you should notify Corporate Communications to ensure that an authorized spokesperson can address the situation. I took a group picture of our team in our work area and noticed there are detailed product drawings on the wall that we’re standing against. Can I share this picture on Instagram? No, there are a couple of reasons not to share this picture. First, you may not have permission to share other co-workers’ pictures on social media, and second, detailed product information should never be shared on social media or via other similar methods. -
Working Together
We believe the strongest teams are made up of people who trust and respect each other. MillerKnoll sets high standards for how we interact with others at all times and provides a safe, healthy, open, and rewarding work environment with opportunities for professional growth. When we are all fully engaged and empowered, and when we manage relationships by demonstrating desired behaviors, we can drive innovation and use design to improve people’s lives.
6.1 Associate Safety and Health
MillerKnoll strives to provide a safe and healthy workplace for our associates, customers, and visitors. We all have a responsibility to take precautions to protect ourselves and others from unsafe conditions. We must follow all relevant laws, rules, and regulations, as well as MillerKnoll’s own safety rules and practices, and immediately report accidents, injuries, occupational illnesses, and any unsafe behavior or condition, regardless of whether we were directly involved or a witness.
6.2 Workplace Violence
MillerKnoll does not tolerate any acts or threats of violence. Weapons, firearms, ammunition, explosives, and incendiary devices are forbidden on our Company premises and in our Company vehicles in order to preserve associate safety and security. We also will not tolerate verbal or physical threats, acts of violence, intimidation, harassment, and/or coercion. Behavior that threatens the safety of our people or Company property, or has the potential to become violent, should immediately be reported.
➤ CONSIDER THIS WHAT IF ANSWER I saw our Safety Rep sign off on the safety inspection checklist, but she didn’t actually do a walk-through of our area. I know she was really busy, but I’m wondering if I should say something to my supervisor. Yes, we are committed to providing a safe work environment, and it is important to do a thorough and complete safety inspection to prevent injuries from occurring. This is also a potential violation of our obligation to maintain accurate records. 6.3 Mutual Respect and Nondiscrimination
We strongly believe that a culture of belonging makes our teams and MillerKnoll better. We are better together when we are supported and encouraged to bring the full breadth of our diverse skills, experiences, and backgrounds to work every day.
Our goal is to ensure everyone feels welcome and able to be their authentic self. We are committed to creating opportunities for all people. We do not tolerate workplace discrimination based on race, ethnicity, religion, disability, sex, sexual orientation, gender identification, age, or any other status protected under applicable law, or harassment of any kind—whether within MillerKnoll or within our business partners’ organizations. We always avoid any actions or words that might be interpreted as inappropriate or unwelcomed. This includes sending unprofessional, harassing, threatening, or obscene material.
If you believe you have experienced discriminatory, harassing, or abusive behavior, you should immediately report this behavior to your supervisor, local Human Resources representative, or through one of the channels described in the Code. If you observe discriminatory, harassing, or abusive behavior, we expect you to be an active bystander by communicating potential issues to the proper reporting channels.
6.4 Drug-Free and Alcohol-Free Workplace
MillerKnoll strives to maintain a safe workplace. Legal or illegal substances shall not be used in a manner that impairs a person’s performance of assigned tasks. No MillerKnoll associate or contractor may report to work or perform any job duties while under the influence of or impaired by alcohol or drugs.
➤ CONSIDER THIS WHAT IF ANSWER One of my co-workers is slurring her words and has mentioned in the past to me that sometimes she parties with her friends before her shift. Should I say something to my supervisor? Yes, your coworker could injure herself or another coworker. Reporting this will help ensure everyone’s safety and well-being and allow her to get the help that she may need. -
Working with Third Parties
The way we conduct ourselves in the marketplace impacts our reputation and the trust we share with our customers, business partners, and shareholders. We make business decisions based on the best interest of the Company and not for personal gain or benefit—and we expect those who work with us to do the same.
7.1 Expectations of External Business Partners
Our external business partners play a key role in our success and reliability, and we work collaboratively with them for optimal performance. At the same time, we must exercise good judgment when selecting independent dealers, retailers, licensees, distributors, suppliers, subcontractors, consultants, agents, and other entities or individuals acting as representatives. Our business partners need to share our same dedication to integrity. This Code, the Supplier Code of Conduct, and our Company policies and practices set high standards of ethical business conduct. If you are responsible for selecting or interacting with business partners, it is expected that they will adhere to the same high standards of ethical behavior that are expected from you. We encourage you to speak up if you have concerns about the conduct of our business partners.
➤ CONSIDER THIS WHAT IF ANSWER I overheard one of our suppliers making insulting, age-related remarks to one of my co-workers. Should I say something? Yes, if you’re comfortable, you can say something to the person and ask them to stop. If you prefer, you can share your concerns with your HR contact or another member of management, and they will handle it. We don’t tolerate any form of harassment, whether the action is initiated by or directed at an associate, a customer, a supplier, or anyone else in our workplace (or at a work-related event). 7.2 Conflicts of Interest
MillerKnoll believes business decisions should be made with integrity and not influenced by conflicts of interest. A conflict happens when your personal, social, or financial interests, duties, obligations, or activities, or those of a family member, are, or may be, in conflict or incompatible with the interests of the Company. Examples of such conflict may include but are not limited to taking advantage of a business opportunity you learned about through your work with MillerKnoll, holding a financial interest in an entity with whom MillerKnoll does business, or making a business decision that may benefit a relative. Conflicts of interest, or even a potential conflict of interest, expose our personal judgment and that of our Company to increased scrutiny and criticism and can undermine our credibility and reputation.
It is your responsibility to disclose any actual or potential conflicts of interest, or situations that may create the appearance of one, to your supervisor or through the channels described in the Code. While many conflicts can be resolved through open and honest dialogue, failing to report an actual or potential conflict of interest is always a violation. Any violation may result in discipline, up to and including termination.

- “My brother has a company you should consider for this work.”
- “A formal investigation isn’t necessary; I’m sure she didn’t mean it that way.”
- “No one needs to know – You can do the work after hours.”
Be careful. These can be warning signs indicating conflict of interest. 7.3 Gifts, Donations, and Entertainment
Giving and accepting gifts and entertainment can help strengthen our business relationships with our customers, suppliers, and other business partners. However, no gift, favor, or entertainment should be accepted or given if it obligates, or appears to obligate, the recipient or if it might be perceived as an attempt to influence fair judgment. Gifts and entertainment should always be modest, in good taste, and appropriate to the situation. We never offer, give, or accept cash or cash equivalents as part of any business relationship, and any gifts or entertainment given or received must follow Company policy and all applicable laws and regulations. To ensure that any offered or received gift is appropriate, please seek the approval of your manager or the Legal team for gifts of $250 USD or greater value. All gifts and entertainment must be properly and accurately recorded in our books and records.
Requesting or soliciting gifts or services, or requesting contributions from vendors, suppliers, or other business partners, for yourself or for MillerKnoll, is always prohibited, except with regard to charitable organizations specifically sanctioned or supported by our Company.
